EXHIBIT A

AMENDMENTS TO THE ARTICLES OF INCORPORATION
OF
EL ENCANTO ESTATES HOMEOWNERS ASSOCIATION, INC.,
An Arizona Non-Profit Corporation

1. Article VII is amended as follows:

Statutory Agent: The name and address of the statutory agent of the corporation is:

Dennis A. Rosen, Esq.
450 W. Paseo Redondo, Suite 204
Tucson, Arizona 85701

2. Article VIII is deleted.

3. Article IX is amended to delete the first sentence thereof: "There shall be no less than three (3) directors." The remainder of Article IX remains unchanged.

I, Dennis A. Rosen, having been designated to act as statutory agent, hereby consent to act in that capacity until removed, or resignation is submitted in accordance with the Arizona Revised Statutes.

an Arizona Non-Profit Corporation

Pursuant to the provisions of Arizona Revised Statutes 10-1034, the undersigned corporation adopts the attached Articles of Amendment to its Articles of Incorporation:

1. The name of the corporation is: EL ENCANTO ESTATES HOMEOWNERS ASSOCIATION.

2. The document attached hereto as Exhibit "A" sets forth amendments to the Articles Of Incorporation which were adopted by act of the members of the corporation at their Annual Meeting on October 12, 1993, in the manner prescribed by law.
